By accessing or using the Luce platform (the “Service”) operated by AGMI AI, Inc. (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Luce is an AI-powered growth marketing platform that provides automated SEO analysis, social media content generation, ad creative generation, competitor intelligence, and growth strategy recommendations. The Service includes both free and paid subscription tiers.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activity that occurs under your account

4. Subscriptions and Payments

Paid features are available through subscription plans. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Subscriptions renew automatically unless cancelled before the renewal date
  • Refunds are handled on a case-by-case basis at our discretion
  • We reserve the right to modify pricing with 30 days' notice

All payments are processed securely through Stripe.

5. Credits and Usage

The Service operates on a credit-based system. Each subscription tier includes a monthly credit allocation. Credits reset at the beginning of each billing cycle and do not roll over. Unused credits expire at the end of the billing period.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Generate content that is defamatory, obscene, or infringes on third-party rights
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose that is fraudulent or deceptive
  • Reverse engineer, decompile, or disassemble any aspect of the Service

7. Intellectual Property

Our IP: The Service, including its design, features, algorithms, and branding, is the property of AGMI AI, Inc. and is protected by intellectual property laws.

Your Content: You retain ownership of the content you create using the Service (e.g., generated social posts, ad creatives, strategies). We claim no ownership over your generated content. You grant us a limited license to process your data solely for the purpose of providing the Service.

8. AI-Generated Content Disclaimer

Content generated by the Service is produced by artificial intelligence and is intended as a starting point for your marketing efforts. You are responsible for reviewing, editing, and approving all generated content before publication. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose.

9. Limitation of Liability

To the maximum extent permitted by law, AGMI AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the new Terms.
